The purpose of this Code of Business Ethics and Conduct (“The Code”) is to set forth the principles of business ethics and conduct that Sim-G Technologies, LLC and its employees, collectively referred to as “Sim-G”, are expected to follow. The Code provides general principles and specific guidelines applicable to business conduct. It is the responsibility of all levels of Sim-G Technologies’ management to monitor compliance with this Code and to ensure that all employees are aware of the provisions of the Code.
The Code
I. MAINTAIN INTEGRITY AND ETHICAL STANDARDS
Sim-G’s most valuable asset is its reputation for integrity and professional standards. As such, employees should conduct their business affairs in such a way as not to discredit their own or Sim-G’s professional reputation.
II. COMPLY WITH LAWS AND REGULATIONS
Sim-G is committed to being a good corporate citizen. Therefore, Sim-G employees will comply with all laws and regulations that are applicable to its business.
III. DO NOT ENGAGE IN FRAUDULENT ACTIVITY
Sim-G expects its employees to conduct business in a legal manner. Sim-G employees must deal honestly and are not to condone fraudulent actions under any circumstances. Sim-G employees are not to engage in bribes, kickbacks or other payments designed to improperly influence or obtain special concessions.
IV. AVOID CONFLICTS OF INTEREST
Sim-G employees are expected conduct themselves in a manner that avoids actual conflicts of interest, or the appearance of conflicts of interest, in the performance of their responsibilities. A conflict of interest arises when the judgment of an employee is influenced by considerations of improper personal gain or benefit to the individual. Such situations could interfere with an employee’s ability to make judgments solely in the company’s best interest.
V. PROPERLY RECORD FINANCIAL ACTIVITIES
Sim-G employees shall accurately and properly record all labor and financial transactions. No employee of Sim-G will cause any other person to fraudulently manipulate official records.
VI. PRACTICE NON-DISCRIMINATION
It is Sim-G’s policy and practice not to discriminate based upon race, color, religion, national origin, gender, age, sexual orientation, and physical or mental disability. Sim-G employees have the right to work in an environment free from discrimination or harassment.
VII. PROVIDE A SAFE WORKPLACE
Sim-G will maintain a safe workplace using all reasonable efforts to protect the safety and wellbeing of its employees, customers and general public.
VIII. PRESERVE THE ENVIRONNMENT
Sim-G will comply with all applicable laws and regulations relating to protection of the environment and conservation of natural resources.
IX. PROTECT PROPRIETARY INFORMATION
Sim-G employees must not only protect the proprietary information Sim-G owns but also keep confidential the proprietary information belonging to others which has been entrusted to them.
X. SAFEGUARD CLASSIFIED INFORMATION
Sim-G will comply with laws and regulations to safeguard sensitive and classified information. Only employees with proper government clearance and a need to know will gain access to classified information. Disclosing such information, without authorization, even after leaving employment, is a violation of federal law and of this Code.
Enforcement of the Code
Sim-G employees will report instances of conduct prohibited by this Code to their supervisor, Human Resources Manager, or an officer of the company. Violation of the Code is cause for disciplinary action, including dismissal, and may constitute a violation of criminal law. Any employee who does not adhere to this Code, or report violations of the Code, is acting outside the scope of their responsibilities. The disciplinary action appropriate to a given violation is at the sole discretion of the owners of Sim-G.
